{"id":442,"date":"2016-04-19T09:32:52","date_gmt":"2016-04-19T08:32:52","guid":{"rendered":"http:\/\/foastek.fr\/?p=442"},"modified":"2016-07-05T11:00:49","modified_gmt":"2016-07-05T10:00:49","slug":"la-contrepartie-financiere-de-la-clause-de-non-concurrence","status":"publish","type":"post","link":"https:\/\/foastek.fr\/?p=442","title":{"rendered":"[Contrat de travail] La contrepartie financi\u00e8re de la clause de non concurrence"},"content":{"rendered":"<p>La clause de non-concurrence vise \u00e0 interdire au salari\u00e9, apr\u00e8s la rupture de son contrat de travail, l\u2019exercice d\u2019une activit\u00e9 qui porterait pr\u00e9judice \u00e0 son ancien employeur.<\/p>\n<p><!--more--><br \/>\nPour \u00eatre valable, la clause de non-concurrence doit pr\u00e9voir une contrepartie financi\u00e8re. A d\u00e9faut d\u2019une telle contrepartie, celle-ci est nulle (Cass. soc., 18-9-02, n\u00b099-46136).<\/p>\n<p>Le montant de la clause de non-concurrence peut \u00eatre pr\u00e9vu par la convention collective ou \u00eatre librement fix\u00e9 par les parties au contrat.<\/p>\n<p>Dans ce dernier cas, le montant de la contrepartie ne doit pas \u00eatre d\u00e9risoire. Une contrepartie d\u00e9risoire \u00e9quivaut \u00e0 une absence de contrepartie et rend la clause nulle.<\/p>\n<p>Le juge ne peut en pr\u00e9sence d\u2019une contrepartie d\u00e9risoire, fixer lui-m\u00eame le montant qu\u2019il estime justifi\u00e9 (Cass. soc., 16-5-12, n\u00b011-10760).<\/p>\n<p>Aussi, la Cour de cassation condamne la pratique consistant \u00e0 minorer le montant de la contrepartie financi\u00e8re selon le mode de rupture du contrat de travail.<\/p>\n<p>En effet, une clause du contrat de travail ne peut minorer la contrepartie financi\u00e8re en cas de licenciement pour faute ou en cas de d\u00e9mission (Cass. soc., 8-4-10, n\u00b008-43056 ; Cass. soc., 25-1-12, n\u00b010-11590).<\/p>\n<p>Un arr\u00eat rendu le 14 avril 2016 pr\u00e9cise, pour la premi\u00e8re fois, que la m\u00eame solution doit s\u2019appliquer aux stipulations d\u2019une convention collective minorant la contrepartie financi\u00e8re en fonction du mode de rupture (Cass. soc., 14-4-16, n\u00b014-29679 PB).<\/p>\n<p>Ce n\u2019est pas parce que l\u2019employeur ne fait qu\u2019appliquer la convention collective qu\u2019il peut minorer le montant de la contrepartie financi\u00e8re.<\/p>\n<p>Une telle disposition conventionnelle, contraire au principe de libre exercice d\u2019une activit\u00e9 professionnelle et \u00e0 l\u2019article L 1121-1 du code du travail, doit \u00eatre d\u00e9clar\u00e9e non \u00e9crite.<\/p>\n<p>La clause du contrat de travail ou la stipulation conventionnelle minorant la contrepartie financi\u00e8re selon le mode de rupture n\u2019est pas nulle mais doit \u00eatre r\u00e9put\u00e9e non \u00e9crite.<\/p>\n<p>Dans une telle hypoth\u00e8se, il convient donc d\u2019appliquer le montant de la clause de non-concurrence pr\u00e9vu en cas de licenciement, soit \u00e0 son taux maximal.<\/p>\n<p>La solution apport\u00e9e par la Cour de cassation est limpide.<\/p>\n<p>Ni les parties au contrat, ni les partenaires sociaux ne peuvent minorer le montant de la contrepartie financi\u00e8re selon le mode de rupture.<\/p>\n","protected":false},"excerpt":{"rendered":"<div class=\"mh-excerpt\"><p>La clause de non-concurrence vise \u00e0 interdire au salari\u00e9, apr\u00e8s la rupture de son contrat de travail, l\u2019exercice d\u2019une activit\u00e9 qui porterait pr\u00e9judice \u00e0 son <a class=\"mh-excerpt-more\" href=\"https:\/\/foastek.fr\/?p=442\" title=\"[Contrat de travail] La contrepartie financi\u00e8re de la clause de non concurrence\">[&#8230;]<\/a><\/p>\n<\/div>","protected":false},"author":1,"featured_media":0,"comment_status":"open","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"h5ap_radio_sources":[],"_jetpack_newsletter_access":"","_jetpack_dont_email_post_to_subs":false,"_jetpack_newsletter_tier_id":0,"_jetpack_memberships_contains_paywalled_content":false,"_jetpack_memberships_contains_paid_content":false,"footnotes":"","jetpack_publicize_message":"","jetpack_publicize_feature_enabled":true,"jetpack_social_post_already_shared":true,"jetpack_social_options":{"image_generator_settings":{"template":"highway","default_image_id":0,"font":"","enabled":false},"version":2},"jetpack_post_was_ever_published":false},"categories":[2,10],"tags":[110,108],"class_list":["post-442","post","type-post","status-publish","format-standard","hentry","category-accueil","category-vos-droits","tag-clause-non-concurrence","tag-contrat"],"jetpack_publicize_connections":[],"jetpack_featured_media_url":"","jetpack_sharing_enabled":true,"jetpack_shortlink":"https:\/\/wp.me\/p77E1E-78","jetpack-related-posts":[],"_links":{"self":[{"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/posts\/442","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/users\/1"}],"replies":[{"embeddable":true,"href":"https:\/\/foastek.fr\/index.php?rest_route=%2Fwp%2Fv2%2Fcomments&post=442"}],"version-history":[{"count":2,"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/posts\/442\/revisions"}],"predecessor-version":[{"id":502,"href":"https:\/\/foastek.fr\/index.php?rest_route=\/wp\/v2\/posts\/442\/revisions\/502"}],"wp:attachment":[{"href":"https:\/\/foastek.fr\/index.php?rest_route=%2Fwp%2Fv2%2Fmedia&parent=442"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/foastek.fr\/index.php?rest_route=%2Fwp%2Fv2%2Fcategories&post=442"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/foastek.fr\/index.php?rest_route=%2Fwp%2Fv2%2Ftags&post=442"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
